Terms of Service

1. Acceptance of Terms
By accessing or using CommishVault ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
CommishVault is operated by CommishVault ("we," "our," or "us").
2. Description of Service
CommishVault provides a payment escrow platform for fantasy sports leagues. The Service allows:
- League commissioners to import leagues from Sleeper
- Collection of entry fees in USDC cryptocurrency
- Secure escrow of funds in smart contracts
- Distribution of payouts to winners
CommishVault is not a gambling platform. We provide payment infrastructure for private fantasy sports leagues. The legality of fantasy sports varies by jurisdiction. You are responsible for ensuring compliance with your local laws.
3. Eligibility
To use CommishVault, you must:
- Be at least 18 years of age
- Have a valid Sleeper account
- Have the legal capacity to enter into binding agreements
- Not be prohibited from using the Service under applicable laws
4. Account Responsibilities
You are responsible for:
- Maintaining the security of your account credentials
- All activities that occur under your account
- Providing accurate wallet addresses for payouts
- Notifying us immediately of any unauthorized access
Warning: Cryptocurrency transactions are irreversible. If you provide an incorrect wallet address, funds cannot be recovered.
5. Commissioner Responsibilities
If you are a league commissioner, you agree to:
- Only import leagues for which you are the rightful commissioner
- Set fair and transparent entry fees and payout structures
- Distribute payouts honestly according to league results
- Not use the platform for fraud, money laundering, or other illegal activities
Commissioners have sole control over payout distribution. CommishVault does not verify league standings or resolve disputes between league members.
6. Payments and Fees
6.1 Platform Fees
CommishVault charges a 2.49% platform fee on all deposits. This fee is added to your entry fee payment, not deducted from it.
Example: For a $100 entry fee, you pay $102.49 total. The full $100 goes to the league escrow, and $2.49 goes to CommishVault.
6.2 Payment Processing
Payments are processed through Coinbase Onramp. Coinbase may charge additional fees for certain payment methods. All payments are made in USDC on the Base blockchain.
Cryptocurrency payments are final. USDC transactions on Base L2 are irreversible once confirmed on the blockchain (typically within 24 seconds).
6.3 Refund Policy
Platform fees are non-refundable under all circumstances. The 2.49% platform fee is earned by CommishVault upon payment confirmation and cannot be refunded regardless of whether you later receive a refund for your entry fee.
Entry fee refunds (the amount deposited to the league escrow) are at the sole discretion of the league commissioner. CommishVault does not process entry fee refunds directly. If you receive a refund for your entry fee, it will be the entry fee amount only, not including the platform fee.
6.4 Referral Program
CommishVault offers a referral program where users can earn commissions on platform fees paid by referred users. Referral commissions are calculated as a percentage of the platform fee (not the entry fee). Commission rates and terms are determined at the time the referred user makes their first payment and may vary based on active promotions.
Referral commissions are paid in USDC and are subject to a minimum payout threshold of $1.00. Users who sign up via referral link may receive promotional benefits such as zero-fee payments, subject to program terms.
7. Smart Contract Escrow
Funds are held in smart contracts on the Base blockchain. By using CommishVault, you acknowledge and agree that:
- Smart contracts operate autonomously according to their programmed logic
- Only the league commissioner can authorize payout distributions
- Blockchain transactions are permanent and irreversible
- We are not responsible for losses due to smart contract bugs, blockchain issues, or user error
8. Prohibited Activities
You agree not to:
- Use the Service for illegal activities including money laundering
- Attempt to defraud other users or manipulate league outcomes
- Create multiple accounts to circumvent limits or restrictions
- Interfere with the Service's infrastructure or security
- Use automated systems to access the Service without permission
- Violate any applicable laws or regulations
We reserve the right to suspend or terminate accounts that violate these terms.
9. Intellectual Property
The CommishVault name, logo, and Service are owned by CommishVault. You may not use our trademarks without written permission.
Sleeper is a trademark of Blitz Studios, Inc. We are not affiliated with, endorsed by, or officially connected with Sleeper.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
We are not responsible for:
- Actions of league commissioners or other users
- Disputes between league members
- Losses due to cryptocurrency volatility
- Losses due to blockchain network issues or congestion
- Losses due to user error (incorrect addresses, lost keys, etc.)
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMMISHVAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT OF FEES PAID BY YOU TO COMMISHVAULT IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless CommishVault and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.
13. Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit.
14. Modifications to Service
We reserve the right to modify, suspend, or discontinue the Service at any time without notice. We will make reasonable efforts to notify users of material changes.
15. Changes to Terms
We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms. We will notify users of material changes via email or in-app notification.
16. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
